Heidi focuses her practice on hospitality transactions, the purchase and sale of business entities, online promotions and marketing, and general contract review and consultation.

In her hospitality practice, Heidi works closely with buyers and sellers of hotels on a variety of matters, including sales and acquisitions, due diligence, liquor licensing, management agreements, and financing transactions.

Heidi leads the firm’s e-commerce practice group where she counsels clients in the legal practice areas of marketing and promotions law.  She regularly drafts and reviews official rules for online and in-store sweepstakes and contests in addition to negotiating special events agreements involving the entertainment industry including celebrity spokesperson agreements and product placement agreements.

Heidi regularly drafts and negotiates a broad range of commercial contracts, including sales contracts and professional services agreements.

Notable cases

Recent hospitality matters include the negotiation of the acquisition of waterfront hotel and commercial pier property in Lake Tahoe, California, as well as acquisitions of hotel properties in Myrtle Beach, North Carolina, Portsmouth, New Hampshire, and Andover, Massachusetts, and negotiation of refinancing transactions for hotels located in Florida and Rhode Island.

Provided comprehensive regulatory counseling in the area of cause marketing to a global food manufacturer involving its annual charitable sales promotion. This included handling multi-state registration as a commercial co-venturer, negotiating sponsorship agreements with charitable partners, and reviewing advertising copy and disclosures in connection with charitable sales campaigns.

Provide ongoing consultation in the area of online promotions to a publically traded fitness chain.

Hobbies

Heidi enjoys hiking, fishing, and kayaking with her family throughout the Granite State, and visiting National Parks.
